The Opportunity
A top-tier real estate and destination development firm headquartered in the UAE is seeking a Senior Legal Counsel to join its high-performing in-house legal team. This strategic role focuses on complex M&A, private equity, and cross-border corporate transactions, supporting major infrastructure and development projects across the GCC and internationally.
Key Responsibilities
Lead end-to-end execution of M&A transactions, including drafting and negotiating SPAs, shareholder agreements, and JV documents
Advise senior management on cross-border structuring, private equity, and investment deals
Provide commercial and legal insights aligned with business goals and risk strategy
Oversee and coordinate with external counsel to ensure quality, speed, and cost-efficiency in transaction execution
Ideal Candidate Profile
Qualified lawyer from the UK, US, or a Commonwealth jurisdiction
7–12 years PQE in corporate law, with a strong background in M&A and private equity
Experience at a top-tier law firm or in-house with a large corporation, preferably in infrastructure or real estate
Exceptional drafting, negotiation, and transaction management skills
Strong business acumen and the ability to communicate legal risk clearly to executive stakeholders
